HIPAA EDI Registration

These Terms of Use are intended to insure compliance with the applicable provisions of the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and the regulations of 45 CFR Part 160, Subpart A and 45 CFR Part 162 (the "Electronic Transactions Rule" or "Rule"). Transactions that meet the definitions in the Rule and that are conducted for any of the products for which we are a Health Plan under the Rule ("Transactions"), when conducted via electronic media, are regulated by the Rule. "You" means any party intending to conduct Transactions with us and any entity acting on that party's behalf. "Us" and "we" means Unum Group and any of its subsidiaries, affiliates or representatives.

By conducting any Transactions with us, you agree to comply with these Terms of Use.

You agree to conduct Transactions with us in accordance with the Rule when required to do so. You agree to comply with all laws and regulations applicable to your conduct of Transactions with us, and you will ensure that all Transactions and data submitted by electronic media are timely, accurate, complete and secure. You are responsible for all costs, fees and expenses incurred by you to comply with the Rule and these Terms of Use, including the costs of any health care clearinghouse ("HCC") acting on your behalf. If you are a HCC submitting transactions on behalf of another entity, you are responsible for authenticating the other partys identity and for having the authority to act on that partys behalf in conducting any Transaction with us.

You are responsible for obtaining all authorizations and consents necessary to allow you to submit Transactions to us and to receive Transactions or responses from us. You agree to use the Transactions and data we provide to you in accordance with the intention of that transaction as stated in the Rule and in accordance with all applicable privacy restrictions.

Transactions must be conducted in accordance with the specifications and protocols established by us from time to time, including those set forth in our HIPAA Transaction Companion Guide.

You agree to indemnify and hold us harmless against any loss, cost, or expense, including reasonable legal fees that may result from your failure to comply with these Terms of Use. You agree to indemnify and hold us harmless against any loss, cost, or expense, including reasonable legal fees, that may result from any disruption or corruption of our data or systems caused by any virus or other improper communication sent from your system(s) to ours. Maine law will govern all legal questions and disputes arising under these Terms of Use.

Submission of a Transaction to us via electronic media does not alter any rights or obligations established under our insurance contracts or other agreements.
